Terms of use
The agreement between you and Setdesk for use of the product.
1. Who this is between
These terms are between the company operating Setdesk and the person or business that opens an account. Where you open an account for an agency or a label, you confirm you may bind it.
2. What the product does
Setdesk is software for running the business side of live music: a diary of bookings and holds, contracts, invoices, advance sheets, artist money, and promotional distribution.
3. What the product is not
We are not a party to any booking you make with it. We do not act as your agent, we do not negotiate, and we do not hold or transmit any artist fee or booking payment. Money for a booking moves directly between the parties to that booking.
Agreements produced by the product are between the agency and the promoter. We supply the means of preparing and signing them, and we give no warranty that any wording is suitable for a particular engagement. Take your own advice on your contracts.
We are not accountants and the product is not tax advice. VAT treatment, commission and totals are calculated from what you enter, and remain yours to check.
4. Your account
Sign in is by a code sent to your email address, so keep that mailbox secure. You are responsible for what happens in your workspace, including what people you invite to it do.
5. Your content, and what we may do with it
Everything you put into the product stays yours: your contacts, your bookings, your figures, your audio. We claim no ownership of it.
We use it only to run the product for you, including storing it with the companies named in the privacy notice, and never to train anything, sell anything, or promote to your contacts.
You confirm you have the right to upload what you upload, and to send it to the people you send it to. That matters most for audio.
6. Data protection
For the people inside your workspace, your contacts and their details, you are the responsible party and we are your operator. Our obligations are set out in the privacy notice, which forms part of these terms.
7. Payment
Paid plans are billed monthly in advance through our payment provider. Cancel any time and the plan runs to the end of the period already paid for. Fees are stated inclusive or exclusive of VAT as shown at checkout.
If a payment fails, the workspace reverts to the free plan and its limits. Nothing is deleted for non-payment.
8. Availability
We work to keep the product available and make no promise of uninterrupted service. Maintenance, and the failure of a company we depend on, will sometimes interrupt it.
9. Ending it
Close your account whenever you like. Export what you need first, because closure removes your data.
We may suspend an account that is being used unlawfully, that is harming the service, or that is sending audio the sender has no right to send. Where circumstances allow, we will say why first.
10. Liability
Nothing here limits liability for anything that cannot lawfully be limited, including fraud. Otherwise our total liability in any twelve month period is limited to what you paid us in that period, and we are not liable for lost bookings, lost profit, or lost data where you held no copy of it.
11. Changes
We may change these terms. Material changes are notified to account holders before they take effect, and continuing to use the product after that means accepting them.
12. Law
These terms are governed by the laws of the Republic of South Africa, and the parties consent to the jurisdiction of its courts.
